Terms of Service

iCanna Core is a cloud-based business management platform designed for licensed cannabis operators. It provides tools for inventory management, sales and point-of-sale, patient record management, cultivation tracking, processing operations, compliance reporting, and B2B exchange connections ("Service").

The Service is intended solely for use by businesses and individuals operating under a valid cannabis licence or permit issued by the applicable regulatory authority in their jurisdiction. iCannaWorld does not sell cannabis products.

• You must be at least 18 years of age to use the Service.
• You represent and warrant that your business holds all licences, permits, and authorisations required by applicable law to operate in the cannabis industry.
• You are solely responsible for ensuring your use of the Service complies with all applicable local, national, and international laws, including cannabis regulations, data protection laws, and financial regulations.
• iCannaWorld reserves the right to suspend or terminate your account if we have reason to believe you are operating without required authorisations or in violation of applicable law.

• You must provide accurate, current, and complete information when registering your organisation.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must promptly notify us at legal@icannaworld.com of any unauthorised use of your account.
• You may not share your credentials with third parties or allow multiple organisations to use a single account.
• iCannaWorld may verify your licence and business information as part of account approval. Approval is not guaranteed.

• Access to iCanna Core requires a paid subscription. Pricing is published at icannaworld.com.
• Subscriptions are billed in advance on a monthly or annual cycle as selected at sign-up.
• All fees are non-refundable except where required by law or expressly stated in a refund policy.
• iCannaWorld reserves the right to change subscription pricing with 30 days' written notice to active subscribers.
• Failure to pay will result in suspension of access after a reasonable grace period.

You agree not to use the Service to:

• Operate an unlicensed or illegal cannabis business
• Upload false, misleading, or fraudulent business or patient data
• Attempt to gain unauthorised access to other organisations' data or to iCannaWorld's systems
• Reverse engineer, decompile, or copy any part of the platform
• Introduce malware, viruses, or malicious code
• Resell or sublicense access to the Service without written permission
• Use the Service in any way that violates applicable law or these Terms

• You retain ownership of all business data, inventory records, patient records, and operational data you enter into the Service ("Your Data").
• You grant iCannaWorld a limited licence to store, process, and transmit Your Data solely for the purpose of providing the Service.
• You are solely responsible for the accuracy, legality, and appropriateness of Your Data, including patient records entered on behalf of your customers.
• iCannaWorld will handle Your Data in accordance with our Privacy Policy.
• Upon account termination, Your Data will be retained for 90 days and then permanently deleted, except where legal retention obligations apply.

• The iCanna Exchange allows licensed operators to list inventory and generate purchase orders between connected organisations.
• iCannaWorld facilitates the connection and communication between parties but is not a party to any transaction, sale, or transfer of cannabis products.
• All transactions between operators must comply with applicable cannabis regulations, including required tripartite agreements, CLA notifications, and transport manifests.
• iCannaWorld is not liable for any losses, regulatory penalties, or disputes arising from transactions between operators conducted through the Exchange.

• The iCanna Core platform, including all software, design, trademarks, and content created by iCannaWorld, is owned by iCannaWorld and protected by applicable intellectual property laws.
• You are granted a limited, non-exclusive, non-transferable licence to access and use the Service during the term of your subscription.
• No rights in the platform are transferred to you beyond this access licence.

Each party agrees to keep the other's confidential business information private and not to disclose it to third parties except as required by law or with prior written consent. iCannaWorld's confidential information includes platform architecture, pricing, and roadmap. Your confidential information includes Your Data and business operations.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. iCannaWorld does not warrant that:

• The Service will be uninterrupted, error-free, or secure at all times
• The Service will meet your specific regulatory or compliance requirements
• Any reports, snapshots, or records generated by the Service will be accepted by regulators without independent verification

You are responsible for independently verifying that all compliance obligations are met. iCannaWorld's tools are an aid, not a substitute for professional legal and compliance advice.

To the maximum extent permitted by applicable law, iCannaWorld shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Service, including lost profits, data loss, regulatory penalties, or business interruption.

iCannaWorld's total liability to you for any claim arising under these Terms shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

You agree to indemnify and hold harmless iCannaWorld and its officers, directors, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms or applicable law
• Your operation of an unlicensed or non-compliant cannabis business
• Any dispute between you and another operator arising from Exchange transactions
• Your Data, including any privacy law violations relating to patient records you manage

• These Terms remain in effect for as long as you maintain an active subscription.
• You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• iCannaWorld may suspend or terminate your account immediately if you breach these Terms, operate without a required licence, or engage in fraudulent activity.
• Upon termination, your access to the Service will cease. Data retention and deletion will follow the schedule described in our Privacy Policy.

iCannaWorld reserves the right to modify or discontinue features of the Service with reasonable notice. We will notify active subscribers of material changes to these Terms by email at least 14 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance.

These Terms are governed by the laws of Jamaica. Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Jamaica, unless both parties agree in writing to an alternative dispute resolution mechanism.

• Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and iCannaWorld regarding the Service.
• Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
